ALK-Abelló to Acquire Schering's 50% Interest in German Subsidiary

ALK-Abelló A/S will acquire Schering AG's 50% interest in the German sales subsidiary ALK-Scherax with a view to securing the platform for the expected launch of GRAZAX in Germany as well as to continuing the development of sales in the existing allergy business.

In 1997, ALK-Abelló and Schering founded a sales subsidiary - ALK-Scherax - to distribute and market ALK-Abelló's products in Germany. According to the agreement, Schering AG's 50% interest would be transferred to ALK-Abelló at net asset value on December 31, 2010. For strategic reasons, ALK-Abelló has advanced the date on which ALK-Scherax becomes a wholly owned subsidiary as ALK-Abelló considers the German market very important to its sales and marketing of existing and future products in Europe.

Therefore, the parties have agreed that ALK-Abelló will acquire Schering's 50% interest in the sales subsidiary with effect from January 2006 for a consideration at the level of EUR 35-40 million. It is expected that the final purchase agreement will be concluded in early 2006. The acquisition is subject to approval by the relevant competition authorities. ALK-Abelló will continue its activities in Germany with the existing management and organisation. ALK-Scherax is going to act as a platform for the expected launch of GRAZAX in Germany as well as for the continuing development of sales in the existing allergy business.
